Understanding

G42 is a UAE-based firm with an ongoing service agreement in place with the Abu Dhabi Department of Government Enablement. The principal aim of this agreement is to ensure that Truly Intelligent Business delivers the specified scope of services and deliverables to the Abu Dhabi Department of Government Enablement via G42.

Validity

This Statement of Work is an agreement between the Customer to purchase and Truly Intelligent Business to supply the Services as set out in this Statement of Work. This Statement of Work incorporates all of the clauses and definitions contained in Truly Intelligent Business's Terms and Conditions of Business which are available at https://trulyintelligent.business/terms-and-conditions-of-business/, as amended or supplemented from time to time. Except as otherwise expressly specified in this Statement of Work, the defined terms used in this Statement of Work shall have the same meanings as the defined terms in Truly Intelligent Business's Terms and Conditions of Business. In the event of any conflict or ambiguity between those Terms and Conditions of Business and this Statement of Work, the provisions in this Statement of Work shall prevail.

This Statement of Work is valid from 1st January 2024 to 31st December 2024 unless terminated earlier in accordance with the terms set out in this Statement of Work.


Objectives

This Statement of Work is aligned to the following objectives of the Customer:

  1. Establish a robust department strategy, underpinned with practical plans.

  2. Build strength in Enterprise Architecture and Data Governance capabilities.

  3. Engage positively with other ADGEs to bring them on-board with the benefits offered by the DGE.

  4. Deliver solutions and services within Abu Dhabi Government that create benefits for other ADGEs.

  5. Develop software solutions that streamline and enhance the effectiveness of DGEs services.

  6. Develop solutions and services for the private sector that could deliver benefits to private commercial entities and generate commercial benefit for the Abu Dhabi Government.


Engagement Scope

Truly Intelligent Business will supply the Customer with the following Services:

Services

Two consultants retained on a full-time basis, engaged in:

  • Devising DGE departmental strategy and delivery frameworks.
  • Developing plans for the implementation of initiatives that deliver on the departmental strategy.
  • Developing departmental capability and initiative definitions.
  • Analysing EA & DG Department capability maturity, and quantifying gaps in capabilities.
  • Closing gaps in EA & DG Department capability.
  • Developing the EA & DG Department value proposition.
  • Communicating the EA & DG Department value proposition to other ADGEs.
  • Driving collaboration between the EA & DG Department and other ADGEs.
  • Building EA & DG capabilities across a range of disciplines focused on digital and data, including:
    • Data operating model implementation.
    • Data and digital use case development.
    • Enterprise architecture design and implementation.
    • Data cataloguing.
    • Data literacy.
    • Data governance.
    • Data quality management.
    • Data Insights Architecture.
    • Data value realisation.
  • Designing and supporting the development of commercial software solutions.
  • Supporting the deployment of EA & DG capabilities to other ADGEs.
  • Devising an EA & DG Department commercial value proposition.
  • Supporting the deployment of commercial EA & DG capabilities to private entities.
  • Supporting the communication of commercial EA & DG capabilities to private entities.

Service Availability

The Services will be unavailable for approximately one week every eight weeks, so that the consultants delivering the Services may rest and attend to personal commitments. There may be a two-week break in Service to allow the consultants delivering the Services to take a vacation.

All such breaks in Service will be planned in advance and agreed with the Customer. The Customer will not be billed for periods when Services are unavailable, and appropriate reductions in fees will be calculated on a pro-rata basis.

In Scope

  1. We will work with any number of government entities, as directed by the Abu Dhabi Department of Government Enablement.
  2. We will consult with the people who are relevant to our work.
  3. We will consult existing government documentation and materials which are relevant to our work.
  4. We will transfer information and knowledge to relevant people at the Customer and other government entities.
  5. We will support the development of software through the production of software designs and specifications, advising software developers, and testing software solutions.

Out of Scope

  1. We will not be responsible for resolving disagreements amongst stakeholders or participants. If disagreements arise we will make every effort to swiftly resolve them. But we will be ultimately dependent upon a Senior Responsible Owner at the Customer to resolve disagreements which threaten to delay or block progress. (see Risks and Dependencies)
  2. We will not participate in the developing, compiling, or commissioning of software code.
  3. Provision of Services beyond the period for which this Statement of Work is valid.
  4. Other Services or deliverables not explicitly specified in the Statement of Work.

Risks

  1. There is a risk that required people from the Customer or other government entities may not be sufficiently available.
    • Mitigation: None. It is essential that required people are available to participate within the timeframes of the work.
  2. There is a risk that required people may not be willing to participate.
    • Mitigation: Relevant leaders will motivate people to participate, and Truly Intelligent Business will answer objections and encourage participation where possible.
  3. There is a risk that consultant availability is interrupted by unforeseen circumstances such as ill-health or family emergencies.
    • Mitigation: Truly Intelligent Business will provide an alternative consultant where possible and make every effort to minimise disruption. It's possible that work may be delayed.
  4. There is a risk that the availability of people and information from the Customer and other government entities are interrupted by unforeseen circumstances.
    • Mitigation: A Senior Responsible Owner at the Customer will make all efforts to minimise disruption to the work. Truly Intelligent Business will make all efforts to accommodate changes to the timescales of the work. Ultimately, it may be that work has to stop until the circumstances have been resolved. Recommencement of the work will be subject to the availability of required people.
  5. There is a risk that delays in the payment of Truly Intelligent Business's invoices may result in the stoppage of Services.
    • Mitigation: The Customer will make all efforts to settle Truly Intelligent Business's invoices on time within agreed payment terms.

Dependencies

  1. Truly Intelligent Business will require access to and time with stakeholders, subject matter experts and technical staff from the Customer and other government entities, sufficient for those people to supply all required knowledge, information, documentation and participation.
  2. Truly Intelligent Business will require participation from relevant leadership people at the Customer and other government entities, to provide, comment on, and validate required information.
  3. Truly Intelligent Business will require support from relevant leadership people at the Customer and other government entities, to motivate other stakeholders and participants to engage with the work in a timely and positive manner.
  4. Truly Intelligent Business will require someone at the Customer to carry out supporting tasks such as booking time with stakeholders and participants, planning and organising workshops, and managing communications.
  5. Truly Intelligent Business will require someone at the Customer to adopt the role of Senior Responsible Owner, and act as a single point of contact for raising and resolving any issues that may occur.
  6. Truly Intelligent Business will require necessary information and documentation to be supplied in a full and timely manner.
  7. The Customer and the in-scope government entity will require Truly Intelligent Business consultants to be available on regular Gulf Standard Time working hours.
  8. Everybody involved in the work must be able to work collaboratively online via Microsoft Teams and Miro.
  9. Truly Intelligent Business requires that all information is provided and all communications are conducted in English.
  10. Any change control processes which may be invoked during work on the Proposed Activities, must be facilitated and managed by the Customer.

 

Change Management

It may become necessary to amend this Statement of Work for reasons including, but not limited to, the following:

  1. Revision of the engagement scope.
  2. Changes in the working environment.
  3. Unavailability of access to systems, required resources or subject matter experts.
  4. Significant delays arising through factors beyond the engagement scope.

In the event where it is necessary to amend this Statement of Work, Truly Intelligent Business or the Customer will communicate a change request. Any change request will be analysed by both parties, the change impacts will be discussed and the change request will be approved or rejected with agreement of both parties. When a change is approved, an addendum to this Statement of Work will be created.

Change requests will be processed and resolved as quickly as possible, and within 14 days at the most.


Location

The Activities to provide the Services may be performed at the following locations:

  • Supplier offices in UK and working from home.
  • Customer offices in Abu Dhabi.

Whenever possible, Truly Intelligent Business will operate on Gulf Standard Time (GST). Truly Intelligent Business operates a flexible working policy, which allows our consultants to operate from the best locations for them to deliver the best results for our clients, whilst also minimising the costs and environmental impacts of unnecessary travel. Work may therefore take place at other locations with prior approval of the Customer.

 

Pricing and Notices


Fees

This statement of work is costed on a Monthly Fixed Price basis. The fees applicable to provision of the services are:

Services Monthly Fixed Price

Two consultants allocated 75% part-time.

Phil Husbands and Chris Catchpole provided on an average of 3.75 days per week during each month.

Phil Husbands located entirely on-site in Abu Dhabi. Chris Catchpole located in the UK, with seven 2-week visits to Abu Dhabi throughout the year.

Invoicing

Truly Intelligent Business will submit one invoice in GBP at the start of each month for 100% of the Monthly Fixed Price in advance, minus any deductions for breaks in Service. Invoices will be paid in GBP and remitted into the Supplier's UK bank account within 30 days of the date of the invoice.

Payment Terms

  1. These prices are inclusive of all taxes.
  2. These prices exclude any applicable third-party agency fees.
  3. These prices are inclusive of travel and accommodation expenses.

Termination

  1. Either party may terminate this Statement of Work with a minimum notice period of 90 days.
  2. In the event of Statement of Work termination, the Customer is liable to pay on a pro-rata basis the fees as described within this Statement of Work for Services that have been completed, in addition to the fees for agreed services occurring within the 90 day termination notice period, and any costs already incurred for expenses and travel.
